For years, one of the biggest attractions of setting up a company in a UAE free zone has been the promise of a highly competitive tax environment. But with the introduction of UAE Corporate Tax, business owners need to understand an important distinction:
Being registered in a UAE Free Zone does not automatically mean your company pays 0% Corporate Tax.
In 2026, a qualifying Free Zone company can benefit from a 0% Corporate Tax rate on Qualifying Income, provided it meets the conditions for being a Qualifying Free Zone Person (QFZP). Other taxable income may be subject to the standard 9% Corporate Tax rate.
So, can your company really pay 0% Corporate Tax? Yes but only if the applicable requirements are satisfied.
What Is UAE Corporate Tax?
The UAE Corporate Tax regime applies to financial years beginning on or after 1 June 2023. UAE companies, including companies established in Free Zones, generally fall within the Corporate Tax regime and have compliance obligations.
The standard Corporate Tax structure is:
0% on taxable income up to AED 375,000.
9% on taxable income above AED 375,000 under the standard regime.
0% on Qualifying Income earned by a Qualifying Free Zone Person.
The Free Zone regime is therefore not a blanket Corporate Tax exemption. It is a preferential tax regime available to companies that satisfy specific conditions.
Does a UAE Free Zone Company Automatically Get 0% Tax? → No.
Simply having a license in a Free Zone does not automatically qualify a company for the 0% rate.
The UAE Ministry of Finance confirms that Free Zone juridical persons are within the scope of Corporate Tax. A Free Zone Person that meets the requirements to become a Qualifying Free Zone Person may benefit from a 0% Corporate Tax rate on its Qualifying Income.
This means business owners need to look at three separate questions:
Is the company a Free Zone Person?
Does it satisfy the conditions to be a Qualifying Free Zone Person?
Is the particular income being earned considered Qualifying Income?
Only after answering these questions can the applicable tax treatment be determined.
What Is a Qualifying Free Zone Person?
A Qualifying Free Zone Person (QFZP) is a Free Zone business that meets the conditions established under the UAE Corporate Tax legislation and related decisions.
Key requirements include maintaining appropriate substance in the UAE, complying with transfer pricing requirements, meeting the applicable de minimis conditions and maintaining the required financial records and compliance.
For certain businesses, audited financial statements are also an important part of the compliance framework.
The Federal Tax Authority has also introduced additional compliance procedures relating to QFZPs, with further legislation and guidance continuing to shape the regime in 2026.
Which Activities Can Benefit From 0% Corporate Tax?
The 0% rate is generally linked to Qualifying Income arising from specified Qualifying Activities.
The framework includes activities such as:
Manufacturing of goods or materials
Processing of goods or materials
Trading of qualifying commodities
Holding of shares and other securities for investment purposes
Ownership, management and operation of ships
Reinsurance services
Fund management services
Wealth and investment management services
Headquarter services provided to related parties
Treasury and financing services to related parties or for qualifying own-account activities
Financing and leasing of aircraft
Distribution of goods or materials in or from a Designated Zone
Logistics services
Certain qualifying intellectual property income
Ancillary activities associated with qualifying activities
The detailed rules are important because not every activity carried out by a Free Zone company automatically produces Qualifying Income. The UAE Ministry of Finance updated the framework through Ministerial Decision No. 229 of 2025, which applies to the qualifying and excluded activity framework in force in 2026.
What About Consulting, Marketing and Professional Services?
This is one of the areas where business owners should be particularly careful.
Many companies established in Free Zones provide services such as:
Management consultancy
Marketing
IT consultancy
Business consultancy
General professional services
Administrative services
The fact that a company has a Free Zone license for one of these activities does not by itself guarantee that all of its income will qualify for the 0% rate.
The tax treatment depends on the nature of the income, the customer, the activity performed and the applicable QFZP rules.
Therefore, business owners should not assume that "Free Zone company = 0% Corporate Tax."
What Happens to Non-Qualifying Income?
A QFZP can have income that does not qualify for the 0% rate.
The UAE Corporate Tax framework provides for 9% Corporate Tax on taxable income that does not meet the definition of Qualifying Income, subject to the applicable rules, exemptions and thresholds.
This is why businesses should maintain proper accounting records and separate their income streams where necessary.
For example, a company may have:
Qualifying Income → 0%
and
Non-Qualifying Taxable Income → 9%
The exact calculation depends on the company's circumstances and the applicable legislation.
What Is the De Minimis Rule?
The QFZP regime contains a de minimis rule for certain non-qualifying income.
In general terms, the relevant non-qualifying revenue must remain within the prescribed threshold. The FTA and applicable legislation should be reviewed when calculating whether the company continues to satisfy the requirements.
Exceeding the applicable threshold can have significant consequences because a company may lose its QFZP status.
This makes regular tax monitoring particularly important rather than waiting until the end of the financial year.
Important: QFZP Status Can Be Lost
One of the biggest misconceptions is that once a company qualifies for 0% Corporate Tax, the benefit is permanent.
It is not.
A company must continue to satisfy the relevant requirements.
If a business fails to meet the QFZP conditions, it may cease to qualify for the preferential regime. The FTA's guidance also explains that losing QFZP status can affect the current and subsequent tax periods.
For this reason, companies should review their activities, customers, accounting records and compliance position regularly.
Does a Free Zone Company Still Need to Register for Corporate Tax? → Yes.
Being eligible for a 0% rate does not mean the company is outside the Corporate Tax system.
The Ministry of Finance states that taxable persons, including Free Zone Persons, are required to register for Corporate Tax and obtain a Corporate Tax Registration Number. Corporate Tax returns are generally due within nine months from the end of the relevant Tax Period.
Therefore:
0% tax rate ≠ no Corporate Tax registration
and
0% tax rate ≠ no Corporate Tax return
Compliance remains essential.
What About Small Business Relief?
Some UAE businesses may also be familiar with Small Business Relief.
The UAE Ministry of Finance announced in August 2026 that the availability of Small Business Relief has been extended to tax periods ending on or before 31 December 2029, subject to the applicable conditions. The revenue threshold remains AED 3 million.
However, there is an important distinction for Free Zone businesses:
A Qualifying Free Zone Person cannot elect for Small Business Relief.
Therefore, businesses should not simply choose whichever tax treatment appears more favorable without considering their eligibility and circumstances.
Does DMCC Offer 0% Corporate Tax?
Dubai Multi Commodities Centre (DMCC) companies are subject to the UAE Corporate Tax regime.
DMCC itself explains that eligible DMCC businesses can potentially benefit from a 0% Corporate Tax rate on Qualifying Income where they meet the requirements for QFZP status.
The same principle should be considered when establishing or operating businesses in other UAE Free Zones, including:
IFZA Dubai
Meydan Free Zone
Shams Free Zone
SPC Free Zone
Ajman Free Zone
Other UAE Free Zones
The Free Zone name alone does not determine whether a particular income stream qualifies for 0%.
What Should UAE Free Zone Business Owners Do in 2026?
If you operate a UAE Free Zone company, consider reviewing the following:
1. Review your licensed activities
Make sure your actual business activities are consistent with your license and the Corporate Tax classification applicable to your business.
2. Review your income sources
Identify where your income comes from and whether it may constitute Qualifying Income or non-qualifying income.
3. Maintain adequate substance
Ensure your business has the appropriate presence, resources and operations required under the applicable QFZP rules.
4. Maintain proper accounting records
Accurate bookkeeping is essential for determining taxable income and supporting your Corporate Tax position.
5. Review related-party transactions
Transfer pricing and arm's-length requirements can apply to transactions with related parties and connected persons.
6. Monitor the de minimis threshold
If your business has non-qualifying income, monitor it throughout the year rather than discovering a potential issue when preparing the Corporate Tax return.
7. Complete Corporate Tax compliance
Registration, record keeping, return filing and payment obligations should be handled within the applicable deadlines.
0% Corporate Tax Is Possible, But It Is Not Automatic
The UAE continues to offer an attractive tax environment for businesses, but the idea that every Free Zone company automatically pays 0% Corporate Tax is incorrect.
The more accurate statement is:
A qualifying UAE Free Zone company can benefit from a 0% Corporate Tax rate on its Qualifying Income, provided it meets the conditions of the QFZP regime.
Other taxable income may be subject to the standard 9% Corporate Tax rate.
As the UAE Corporate Tax framework continues to develop, businesses should assess their position based on their actual activities, income streams, customers, accounting records and compliance requirements, rather than relying solely on their Free Zone license.
