How do I transfer shares in a UAE company?
You agree the new ownership split, sign a share transfer agreement and amend the Memorandum of Association. For a Mainland LLC this is done before a notary with economic-department approval; in a Free Zone the authority approves the change and issues a new share certificate. We handle every step for you.
How long does a share transfer take?
Most transfers complete within one to three weeks, depending on the jurisdiction, the number of shareholders and how quickly documents are signed and notarised. We prepare everything in advance so it moves quickly.
Can I add or remove a shareholder without closing the company?
Yes. A share transfer changes ownership while the company keeps trading. Your license, bank account and operations continue, and we update the records to reflect the new shareholders.
Do all existing shareholders have to agree?
Usually yes. Existing shareholders often hold pre-emption rights, meaning they get first refusal before shares are sold to an outside party. We check your Memorandum of Association and obtain the necessary consents or NOCs.
Can a foreign individual or company hold shares?
Yes. Most UAE activities now allow 100 percent foreign ownership on the Mainland, and Free Zones have always allowed full foreign ownership. We advise on any activity-specific conditions before the transfer.
What does a share transfer cost in the UAE?
Cost depends on the jurisdiction and whether notarisation and translations are needed, since official and notary fees vary. We confirm a clear, fixed quote for your company before any work begins.
Do I need to update the bank and UBO register?
Yes. After a transfer the Ultimate Beneficial Owner register must be updated, and your bank will refresh its records for the new shareholders. We handle the UBO update and prepare what the bank needs.
Can you handle the whole share transfer?
