Company registration
Three routes to a UAE company, each with its own ownership, office and tax profile.
Free Zone company registration
Setting up in one of the country’s designated free trade zones offers 100% foreign ownership, 100% repatriation of profits, and exemptions from corporate and personal income taxes. The process runs in eight steps:
- Choose your business activity and company name.
- Obtain initial name approval from the Free Zone Authority.
- Select the legal structure of the company.
- Obtain approval of the activity and the legal structure.
- Obtain the necessary licenses and permits.
- Apply for an office space lease.
- Register with the Free Zone Authority and obtain the trade license.
- Open a company bank account.
Mainland company registration
A Mainland company is set up within the non-free trade zones of the emirate of Dubai. It can trade directly across the local market and take on government work.
Requirements include a physical office (Ejari) or a local service agent for certain business activities, along with the relevant approvals from the Department of Economic Development.
Offshore company registration (IBC)
Offshore companies (International Business Companies) are typically used for international trade and business activities and are not allowed to conduct business within the UAE. Setting one up involves:
- Appoint a registered agent.
- Select the jurisdiction.
- Choose the business activity.
- Obtain company name approval.
- Obtain the necessary permits and documentation.
Additional services
Everything that surrounds the license, from residence to the corporate changes a company needs over its life.
Residence visa
A residence visa requires a sponsor, which can be an employer, a family member, or your own investment. The documentation needed includes a passport, an employment contract, and proof of income. The visa is finalised on arrival in the UAE with the medical test and Emirates ID.
Bank account opening
Personal accounts require identification documents, proof of residence and proof of income.
Business accounts require the company registration documents, passport, visa and Emirates ID, shareholder resumes, sources of income, proof of address, a company profile, a business plan, supplier and client lists, and a financial plan.
Share transfer
A share transfer runs through a sales and purchasing agreement and requires the approval of the current and new shareholders, filing with the relevant government authority, and notification of the parties concerned.
Change of name
Changing a company name requires shareholder approval, filing with the government authority, notification of the relevant parties, and updating the company documents.
Change of manager / officers
The replacement of management personnel or officers, with the necessary approvals filed and the change communicated to the parties concerned.
De-registration and liquidation
De-registration removes the company from the official records, while liquidation winds up its assets. Liquidation can be voluntary, on a decision of the shareholders, or compulsory, ordered by a court.
