What are Economic Substance Regulations (ESR) in the UAE?
ESR required UAE companies carrying on a Relevant Activity, such as holding, headquarters, distribution, shipping or IP business, to file an annual notification and, where in scope, an economic substance report. The UAE cancelled ESR obligations for financial years beginning on or after 1 January 2023, but notifications and reports for 2019 to 2022 still matter, and authorities can review or penalise those periods. We assess your exposure and handle any back-filing.
What is a UBO register and who needs one?
A UBO register records the Ultimate Beneficial Owners, the real people who ultimately own or control the company. Almost every UAE company, Free Zone or Mainland, must maintain one and file it with its licensing authority, then update it whenever ownership changes. We build the register, lodge it and keep it current for you.
Who needs to register for AML and goAML in the UAE?
Designated Non-Financial Businesses and Professions, known as DNFBPs, must comply with UAE anti-money-laundering rules. That includes real estate brokers, dealers in precious metals and stones, auditors, and corporate service providers. They must register on the goAML portal, run a risk assessment, keep KYC policies and report suspicious transactions. We set the whole programme up.
What are the penalties for non-compliance?
Each regime carries its own fines. Failing to maintain or file a UBO register, missing an ESR deadline in the years it applied, or operating as a DNFBP without an AML programme can all trigger fixed penalties, and repeated breaches escalate. The cost of compliance is far lower than the fines, which is exactly why we track every deadline for you.
Do Free Zone companies have to comply with ESR, UBO and AML?
Yes. These are federal regimes that apply across the UAE, including the Free Zones, though the filing portal and the registrar differ by jurisdiction. A Free Zone company still maintains a UBO register, had ESR obligations in the years it applied, and must run an AML programme if it is a DNFBP. We tailor the filings to your specific zone.
How do I know which regimes apply to my company?
It comes down to your activity, your ownership and your jurisdiction. UBO applies to almost everyone, AML applies if you are a DNFBP, and ESR applied to companies with a Relevant Activity in the relevant years. We run a short assessment of your license and structure and tell you exactly what applies, with no scaremongering.
