  • It is a commercial company license

    An IFZA crypto license is a standard Free Zone company license whose schedule of activities includes crypto and blockchain work. You incorporate a Free Zone company in Dubai, holding it in full foreign ownership, and the license specifies the precise blockchain activities the company is authorised to conduct.

  • It covers crypto-adjacent activities

    IFZA may license blockchain software development, distributed ledger consultancy, proprietary trading in crypto-commodities, marketing and advisory, mining management and NFT or metaverse services. These are commercial activities that do not, in themselves, involve holding client funds.

  • It is not a VARA license

    IFZA licenses the company; it does not regulate Virtual Asset Services. Operating an exchange, providing custody, acting as a broker-dealer or managing client crypto is regulated in Dubai by VARA, and requires a separate VARA authorisation in addition to any Free Zone license.   • Proprietary trading in crypto-commodities

    Trading digital assets on the company's own account and balance sheet, without holding or managing client funds. This is distinct from operating an exchange or a brokerage.

  • NFT and metaverse services

    NFT marketplace operation, minting services, and metaverse or Web3 product businesses, provided the platform does not amount to a regulated Virtual Asset Service.

  • Consultancy and advisory

    Blockchain strategy, tokenomics, Web3 marketing and technical advisory. Among the most common and least regulated crypto activities to license.

  • Mining management

    Management, hosting arrangements and advisory in connection with crypto mining operations. Physical mining conducted in the UAE carries its own energy and permitting considerations, which we identify at the outset.

When IFZA is enough, and when you need VARA.

This is the single most important question for a crypto business in Dubai, and the one most providers pass over. The test is straightforward: if you hold, exchange, broker or manage crypto on behalf of others, you require a regulator. If you build, advise or trade only your own treasury, an IFZA license will generally suffice.

An IFZA license is enough when

  • You build or advise, and hold no client funds

    Software development, DLT services, consultancy, marketing and technology products sit comfortably within an IFZA license, because the company provides its work rather than safeguarding customer assets.

  • You trade only your own treasury

    Proprietary trading of digital assets on the company's own account, with no third-party funds involved, is generally a commercial activity that IFZA may license without a separate financial authorisation.

  • You need an established Dubai presence

    For a holding company, a Web3 studio or a token project's operating entity, IFZA provides a recognised, cost-effective Dubai license with full ownership and a prompt, remote incorporation.

You also need VARA when

  • You operate an exchange or brokerage

    Matching buyers and sellers, or dealing in virtual assets on behalf of clients, is a regulated Virtual Asset Service. It requires a VARA license in Dubai, and a Free Zone license alone is not sufficient.

  • You hold client assets in custody

    Holding, safeguarding or administering crypto on behalf of customers is a regulated custody activity. It falls under VARA, or under the DFSA in DIFC and the FSRA in ADGM in the financial free zones.

    Portfolio management, regulated advice on virtual assets, or the issuance of a regulated token each move an activity from the commercial sphere into the financial one, requiring the relevant regulator's approval.
